The inception of the STC can be traced back to a pivotal moment in the late 1970s when Neville Wran, then the Premier of New South Wales, approached Elizabeth Butcher from the National Institute of Dramatic Art (NIDA) to establish a new state theatre company. The vision was to create a company that would perform in the Drama Theatre of the iconic Sydney Opera House.

Elizabeth Butcher, alongside John Clark, the then-director of NIDA, laid the foundational groundwork for the STC. They proposed a legal and managerial structure, and the name 'Sydney Theatre Company' was adopted with the aim of assembling a formidable theatrical force. The company showcased its first interim season in 1979, marking its debut with six plays produced by five different theatre companies, thus setting the stage for what would become a cultural institution.

The primary performance venue for the Sydney Theatre Company is the Wharf Theatres located at Dawes Point. The first STC production at the Wharf Theatre, now known as Wharf 1, was "Late Arrivals" by Pamela van Amstel, directed by Wayne Harrison in his directorial debut. This production was part of a season of one-act plays titled "Shorts at the Wharf," which highlighted emerging talents and experimental works.

The company also utilizes the Roslyn Packer Theatre, a versatile space that hosts a variety of performances and is shared with the Sydney Dance Company and the Sydney Writers' Festival.
